PRICE AND PAYMENT

Unless alternative arrangements are made, prices for services are in US $. Price quoted includes transmission to the e-mail address
specified in our order confirmation.
We are not responsible for your bank’s charges for international transfers.
We accept most major credit and debit cards.
Failure to pay any invoice in accordance with the foregoing terms or other terms specified in the Contract shall entitle us to suspend
further work both on the order and on any other order from you without prejudice to any other right we may have.

We reserve the right to charge interest on overdue accounts 30 days from the date of delivery. A late charge of 3% per month, or any
part thereof, will be added for any amounts not paid when due. Amerigo Language Solutions may at any time suspend its services if
payments are overdue.

DELIVERY

It is your responsibility to correctly communicate details of the delivery address, physical and/or electronic.

The dates for carrying out the Services are approximate and, unless otherwise expressly stated, no delay shall entitle you to reject any
delivery or performance or to repudiate the Contract

We will not be held liable for the consequences of any delay in delivery or performance or failure to deliver or perform if the duration of
the delay is not substantial or if the delay or failure is due to late delivery or performance or non-delivery or non-performance by
suppliers or subcontractors, shortage of labor, an act of God, fire, inclement or exceptional weather conditions, industrial action,
hostilities, governmental order or intervention (whether or not having the force of law), force majeure or any other cause whatever
beyond our control or of an unexpected or exceptional nature.

Posting or delivery to a carrier (including, but not restricted to, e-mail) for the purpose of transmission to you, for the purposes of the
Contract, constitutes delivery to you.

OUR RESPONSIBILITIES AND LIABILITY

The Services shall be carried out using reasonable skill and care in accordance with industry standards.

All reasonable skill and care shall be used in selecting translators, proofreaders and other personnel used to produce Goods or perform
Services.

The Services shall be fit for the purpose made known to us by you in writing.

No terms, conditions or warranties, whether express or implied, about the quality or fitness for purpose shall be incorporated unless
expressly set out in the Contract.

We shall incur no liability to you for innocent or negligent misrepresentation by virtue of any statement made by or on behalf of us prior
to the Contract, whether orally or in writing, and you shall not be entitled to rescind the Contract on the grounds of any such
misrepresentation.

Save in respect of death or personal injury resulting from our negligence, our liability to you respecting the provision of Services shall be
limited as follows:

i) we shall not be liable for loss of profits, business, contracts, revenue, damage to your reputation or goodwill, anticipated savings, and
or any other indirect or consequential loss or damage whatsoever;

ii) our entire liability to you respecting Services shall be limited to damages; and our entire liability to you respecting Services for
damages shall not exceed the price paid to us by you under the Contract.
